1. Acceptance of Terms

By accessing or using ContextX ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ContextX provides a personal context layer for AI agents. The Service allows you to:

Connect and securely store personal data from various sources
Grant AI agents permission-based access to your context
Optionally participate in the Data Marketplace to earn from anonymized data
Export and manage your personal data

3. Account Registration

To use the Service, you must:

Be at least 18 years old
Provide accurate and complete registration information
Maintain the security of your account credentials
Immediately notify us of any unauthorized use

4. Subscription and Payments

The Service operates on a subscription basis:

Annual membership fee: $5 per year
Payments processed securely through Stripe
Automatic renewal unless cancelled
Refunds available within 30 days of initial purchase

5. Data Ownership

You retain full ownership of all data you upload to ContextX. We do not claim any intellectual property rights over your content. Your data is encrypted with keys only you control, and you can export or delete it at any time.

6. Data Marketplace

If you choose to participate in the Data Marketplace:

You grant us permission to anonymize and aggregate your selected data
Anonymized data meets k-anonymity standards (minimum k=50)
You receive 60% of revenue generated from your data
Payouts are processed monthly via Stripe Connect
Minimum payout threshold: $10
You can withdraw from the Marketplace at any time

7. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Attempt to gain unauthorized access to any systems
Interfere with or disrupt the Service
Upload malicious content or malware
Violate any third-party rights or terms of service
Resell or redistribute the Service without permission

8. AI Agent Access

When you grant an AI agent access to your data, you are responsible for understanding what access you're providing. We maintain audit logs of all data access, and you can revoke permissions at any time. We are not responsible for how third-party AI agents use the data you choose to share with them.

9. Limitation of Liability

To the maximum extent permitted by law, ContextX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from your use of the Service.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for any third-party services or AI agents you choose to integrate with.

11. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

12. Termination

We may terminate or suspend your account for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may request data export before termination. Data is retained for 30 days after account closure.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
